1. Introduction

These Terms of Service ("Terms") govern your access to and use of the LocumSTAFF platform, website, business portal, and mobile applications (collectively, the "Platform"), operated by LocumSTAFF (Pty) Ltd ("LocumSTAFF", "we", "us").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, healthcare facilities, and locum professionals who access or use the Platform.

2. Definitions

"Facility" means a pharmacy, clinic, hospital, or other healthcare establishment that posts shifts on the Platform.

"Locum" means a verified healthcare professional registered on the Platform who applies for and works shifts.

"Shift" means a temporary work engagement posted by a Facility and accepted by a Locum through the Platform.

"User", "you", and "your" refer to any individual or entity that accesses or uses the Platform, whether as a Facility or Locum.

3. Eligibility and Registration

To use the Platform, you must be at least 18 years old and legally capable of entering into binding contracts.

Facilities must provide valid business registration details (CIPC registration, practice code number) and authorised representative information.

Locums must provide valid professional registration (HPCSA, SAPC, SANC, or equivalent), proof of identity, and indemnity insurance where applicable.

You agree to provide accurate, current, and complete information during registration and to keep this information updated.

We reserve the right to suspend or terminate accounts that provide false or misleading information.

4. Platform Services

LocumSTAFF provides a marketplace connecting Facilities with verified Locum healthcare professionals.

We do not employ Locums directly. Locums are independent contractors, and Facilities are responsible for their engagement terms.

The Platform facilitates shift posting, application, matching, credential verification, timesheet tracking, and payment processing.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with reasonable notice where practicable.

5. Facility Obligations

Facilities must provide accurate shift descriptions, including role requirements, dates, times, locations, and rates.

Facilities are responsible for verifying that Locums hold current, valid professional registrations and qualifications for the assigned shifts.

Facilities must approve timesheets promptly and process payments in accordance with agreed terms.

Facilities must comply with all applicable healthcare regulations, labour laws, and workplace safety requirements.

Facilities may not discriminate against Locums on prohibited grounds including race, gender, religion, or disability.

6. Locum Obligations

Locums must maintain current, valid professional registration and notify the Platform immediately of any changes, suspensions, or lapses.

Locums must arrive on time, perform duties competently, and comply with Facility policies and professional standards.

Locums must accurately record hours worked and submit timesheets within the required timeframes.

Locums are responsible for their own tax obligations, professional indemnity insurance, and compliance with applicable healthcare regulations.

Locums may not share account credentials or allow another person to use their profile.

7. Fees and Payments

LocumSTAFF charges platform fees as disclosed during registration and visible in the Facility dashboard.

Facilities agree to pay all applicable fees and Locum remuneration in accordance with the rates agreed for each shift.

Payments are processed through the Platform's designated payment infrastructure.

Refunds and disputes are handled in accordance with our Cancellation and Refund Policy, available upon request.

We may update fee structures with reasonable notice. Continued use after the effective date constitutes acceptance.

8. Cancellations and No-Shows

Facilities and Locums must provide reasonable notice for cancellations as specified in the Platform's cancellation policy.

Late cancellations or no-shows may result in penalties, suspension of account privileges, or removal from the Platform.

Repeated cancellations or no-shows may result in permanent account termination.

9. Intellectual Property

All content, software, designs, logos, and materials on the Platform are owned by or licensed to LocumSTAFF and protected by intellectual property laws.

Users may not copy, modify, distribute, sell, or lease any part of the Platform without our express written consent.

You retain ownership of content you upload (e.g., profile information, documents), but grant us a licence to use it for Platform operations.

10. Confidentiality and Data Protection

Users must treat all personal information and Platform data as confidential and use it only for legitimate Platform purposes.

We process personal information in accordance with our Privacy Policy and the Protection of Personal Information Act, 2013 (POPIA).

Users must not disclose or misuse personal information of other users obtained through the Platform.

11. Limitation of Liability

LocumSTAFF is a marketplace facilitator and is not liable for the quality of care provided by Locums, or the conduct of Facilities.

We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

Our total liability for any claim arising from these Terms is limited to the amount of platform fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct, or any liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold LocumSTAFF, its directors, employees, and agents harmless from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

You may terminate your account at any time by contacting support or using the account closure feature in the Platform settings.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or pose a risk to other users.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa.

Any dispute arising from these Terms will first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes will be resolved through mediation or arbitration in Johannesburg, South Africa, under the rules of the Arbitration Foundation of Southern Africa.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or email.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Platform and close your account.
